Terms of service

Date of Last Revision Effective: March 1, 2025

This website is operated by Dirty Labs Inc. ("Dirty Labs"). Throughout the site, the terms “we”, “us” and “our” refer to Dirty Labs. Dirty Labs offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.  By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.  By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.  THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST DIRTY LABS ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.

Any new features, products or tools which are added to the Service shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Products & Services; Modifications

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

We: (a) reserve the right to change the goods and services advertised or offered for sale through the Dirty Labs website, the prices, ingredients or specifications of such goods and services, and any promotional offers at any time without any notice or liability to you or any other person; (b) cannot guarantee that goods or services advertised or offered for sale on the Dirty Labs website will be available when ordered or thereafter; (c) reserve the right to limit quantities sold or made available for sale; (d) do not warrant that information on the Dirty Labs website (including without limitation product descriptions, colors or photographs) is accurate, complete, reliable, current or error-free; and (e) reserve the right to modify, cancel, terminate or not process orders (including accepted orders) where the price or other material information on the Dirty Labs website is inaccurate, where we have insufficient quantities to fulfill an order or for any other reason in our sole discretion.

Purchases; Accuracy of Billing and Account Information

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed. You agree to pay Dirty Labs the amount that is specified in the payment plan in accordance with the terms of such plan and this Terms of Service.

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

Payment Processing

Notwithstanding any amounts owed to Dirty Labs hereunder, DIRTY LABS DOES NOT PROCESS PAYMENT FOR ANY PRODUCTS OR SERVICES. To facilitate payment for the Services via bank account, credit card, or debit card, we will do so using a third party payment processor (“Payment Processors”).  These Payment Processor services are made available via the applicable Payment Processor’s terms and conditions, privacy policy, and all other relevant agreements (collectively, the “Payment Processor Agreements”).  By agreeing to these Terms of Service, users that use the payment functions of the Service also agree to be bound by the applicable Payment Processor Agreement for the payment function the user is using, as the same may be modified by the applicable payment processor from time to time.  Dirty Labs assumes no liability or responsibility for any payments you make through the Service.  You represent and warrant to Dirty Labs that such information is true and that you are authorized to use the payment instrument.  You will promptly update your account information with Dirty Labs or the corresponding Payment Processor, as applicable, of any changes (for example, a change in your billing address or credit card expiration date) that may occur.  You hereby authorize the applicable Payment Processor to store and continue billing your specified payment method even after such payment method has expired, to avoid interruptions in payment for your use of the Service. Please contact the applicable Payment Processor for more information.

Autoship

Dirty Labs may allow you to create a subscription to our Services (an “Autoship”), where you can sign up to purchase and have delivered on a regular basis a selection of our products. When you sign up for an Autoship, you will have the opportunity to choose (a) the products included in each shipment (subject to availability), and (b) the frequency of each delivery/payment under your Autoship, from the options provided at the time you sign up. Dirty Labs will automatically renew your Autoship and charge your payment instrument depending on the Autoship and/or shipping frequency chosen by you, unless we or you cancel your Autoship in accordance with these Terms of Service.

YOU ACKNOWLEDGE AND AGREE THAT EACH AUTOSHIP AUTOMATICALLY RENEWS UNLESS YOU CANCEL IT OR WE SUSPEND OR TERMINATE IT IN ACCORDANCE WITH THESE TERMS OF SERVICE. YOU MAY CANCEL YOUR AUTOSHIP AT ANY TIME BY EMAILING HELLO@DIRTYLABS.COM OR BY LOGGING INTO YOUR ACCOUNT ON DIRTYLABS.COM AND SELECTING TO CANCEL. YOU MUST SUBMIT YOUR CANCELLATION REQUEST AT LEAST ONE (1) BUSINESS DAY PRIOR TO YOUR NEXT PRODUCT SHIPPING DATE TO AVOID BEING CHARGED FOR THAT PRODUCT SHIPMENT. YOU MAY BE CHARGED FOR YOUR NEXT DELIVERY IF YOUR CANCELLATION REQUEST IS NOT RECEIVED IN TIME FOR PROCESSING BEFORE YOUR NEXT PRODUCT DELIVERY DATE.

Your payment instrument will be charged at the time a renewal order for a product is processed. We will charge your payment instrument with the applicable recurring cost for your product(s), plus any shipping and handling costs and sales or similar taxes that may be charged with your Autoship. You authorize this renewal by agreeing to the automatic renewal of your Autoship and these Terms of Service during the Autoship sign-up process. From time to time, we may pause or permanently discontinue a product included in your Autoship for any reason, including but not limited to lack of availability of that product at the time of shipping. If this applies to you, then we will send you an email, using the email address we hold for you, to notify you that such item is not currently available. Your payment instrument will not be charged for products which are not included in your Autoship either because we have paused them or because they have been discontinued, until such item is back in stock (to the extent applicable) and ready to ship.

You may cancel your Autoship or portions of your Autoship at any time by logging into your account and selecting Cancel Autoship. You must submit your cancellation request at least 24 hours prior to the order renewal date for any product(s) covered by your Autoship to avoid being charged for that/those product(s). You may be charged for your next delivery if your cancellation request is not received in time for processing before your next delivery date. To the extent you need to cancel after a product shipping date has passed, please email customer support at: hello@dirtylabs.com. If you cancel your Autoship, you will enjoy your Autoship benefits until the end of the then-current subscription term for which you have paid. We reserve the right to cancel your Autoship, or to not ship products to you unless your payment for those products has cleared. We may also cancel your Autoship at any time if any of the following conditions are met: (a) if you do not within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the product(s), for example, your shipping address; (b) if you do not, within a reasonable time, allow us to deliver the product(s) to you; or (c) if we suspect that a purchase was fraudulently made or an account was fraudulently set up.

Gift Cards

Dirty Labs may make Dirty Labs gift cards (each a “Gift Card”) available for purchase via the website or Service.  Gift Cards are issued by Dirty Labs and may be redeemed only for eligible Dirty Labs products through the website. Gift Cards do not expire. When you purchase a Gift Card, you (or your intended recipient) will be sent an email containing the Gift Card code. The Gift Card recipient will be required to create an account with Dirty Labs.  Purchases will be deducted from the Gift Card amount until the value reaches zero.  If purchases exceed the Gift Card balance, the remaining purchase amount must be paid with another payment method. Dirty Labs reserves the right to refuse, cancel, or hold for review any Gift Card purchase or usage that Dirty Labs suspects is connected to fraudulent or illegal activity. Gift Cards cannot be used to purchase other gift cards and cannot be resold, reloaded, transferred for value or redeemed for cash, except to the extent required by law. Dirty Labs is not responsible if any Gift Card is lost, stolen, destroyed or used without your permission.

Dispute Resolution By Binding Arbitration:

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.

Agreement to Arbitrate

This Dispute Resolution by Binding Arbitration section is referred to in this Terms of Service as the “Arbitration Agreement.”  You agree that any and all disputes or claims that have arisen or may arise between you and Dirty Labs, whether arising out of or relating to this Terms of Service (including any alleged breach thereof), the Services, any advertising, any aspect of the relationship or transactions between us, shall be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the terms of this Arbitration Agreement, except that you may assert individual claims in small claims court, if your claims qualify.  Further, this Arbitration Agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, and such agencies can, if the law allows, seek relief against us on your behalf.  You agree that, by entering into this Terms of Service, you and Dirty Labs are each waiving the right to a trial by jury or to participate in a class action.  Your rights will be determined by a neutral arbitrator, not a judge or jury.  The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

Prohibition of Class and Representative Actions and Non-Individualized Relief

YOU AND DIRTY LABS AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.  UNLESS BOTH YOU AND DIRTY LABS AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.  ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S), EXCEPT THAT YOU MAY PURSUE A CLAIM FOR AND THE ARBITRATOR MAY AWARD PUBLIC INJUNCTIVE RELIEF UNDER APPLICABLE LAW TO THE EXTENT REQUIRED FOR THE ENFORCEABILITY OF THIS PROVISION.

Pre-Arbitration Dispute Resolution

Dirty Labs is always interested in resolving disputes amicably and efficiently, and most customer concerns can be resolved quickly and to the customer’s satisfaction by emailing customer support at hello@dirtylabs.com.  If such efforts prove unsuccessful, a party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute (“Notice”).  The Notice to Dirty Labs should be sent to Dirty Labs Inc. 7464 E. Tierra Buena Lane, Suite 205, Scottsdale, AZ 85260 (“Notice Address”).  The Notice must (i) describe the nature and basis of the claim or dispute and (ii) set forth the specific relief sought.  If Dirty Labs and you do not resolve the claim within sixty (60) calendar days after the Notice is received, you or Dirty Labs may commence an arbitration proceeding.  During the arbitration, the amount of any settlement offer made by Dirty Labs or you shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or Dirty Labs is entitled.

Arbitration Procedures

Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association’s (“AAA”) rules and procedures, including the AAA’s Consumer Arbitration Rules (collectively, the “AAA Rules”), as modified by this Arbitration Agreement.  For information on the AAA, please visit its website, http://www.adr.org.  Information about the AAA Rules and fees for consumer disputes can be found at the AAA’s consumer arbitration page, http://www.adr.org/consumer_arbitration.  If there is any inconsistency between any term of the AAA Rules and any term of this Arbitration Agreement, the applicable terms of this Arbitration Agreement will control unless the arbitrator determines that the application of the inconsistent Arbitration Agreement terms would not result in a fundamentally fair arbitration.  The arbitrator must also follow the provisions of these Terms of Service as a court would.  All issues are for the arbitrator to decide, including, but not limited to, issues relating to the scope, enforceability, and arbitrability of this Arbitration Agreement.  Although arbitration proceedings are usually simpler and more streamlined than trials and other judicial proceedings, the arbitrator can award the same damages and relief on an individual basis that a court can award to an individual under the Terms of Service and applicable law.  Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons.

Unless Dirty Labs and you agree otherwise, any arbitration hearings will take place in a reasonably convenient location for both parties with due consideration of their ability to travel and other pertinent circumstances.  If the parties are unable to agree on a location, the determination shall be made by AAA.  If your claim is for $10,000 or less, Dirty Labs agrees that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules.  If your claim exceeds $10,000, the right to a hearing will be determined by the AAA Rules.  Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based.

Costs of Arbitration

Payment of all filing, administration, and arbitrator fees (collectively, the “Arbitration Fees”) will be governed by the AAA Rules, unless otherwise provided in this Arbitration Agreement.  If the value of the relief sought is $75,000 or less, at your request, Dirty Labs will pay all Arbitration Fees.  If the value of relief sought is more than $75,000 and you are able to demonstrate to the arbitrator that you are economically unable to pay your portion of the Arbitration Fees or if the arbitrator otherwise determines for any reason that you should not be required to pay your portion of the Arbitration Fees, Dirty Labs will pay your portion of such fees.  In addition, if you demonstrate to the arbitrator that the costs of arbitration will be prohibitive as compared to the costs of litigation, Dirty Labs will pay as much of the Arbitration Fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive.  Any payment of attorneys’ fees will be governed by the AAA Rules.

Confidentiality

All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.

Severability

If a court or the arbitrator decides that any term or provision of this Arbitration Agreement (other than the subsection (b) titled “Prohibition of Class and Representative Actions and Non-Individualized Relief” above) is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified.  If a court or the arbitrator decides that any of the provisions of subsection (b) above titled “Prohibition of Class and Representative Actions and Non-Individualized Relief” are invalid or unenforceable, then the entirety of this Arbitration Agreement shall be null and void, unless such provisions are deemed to be invalid or unenforceable solely with respect to claims for public injunctive relief.  The remainder of the Terms of Service will continue to apply.

Future Changes to Arbitration Agreement

Notwithstanding any provision in this Terms of Service to the contrary, Dirty Labs agrees that if it makes any future change to this Arbitration Agreement (other than a change to the Notice Address) while you are a user of the Services, you may reject any such change by sending Dirty Labs written notice within thirty (30) calendar days of the change to the Notice Address provided above.  By rejecting any future change, you are agreeing that you will arbitrate any dispute between us in accordance with the language of this Arbitration Agreement as of the date you first accepted these Terms of Service (or accepted any subsequent changes to these Terms of Service).

Termination

You agree that Dirty Labs, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Service and remove and discard any content within the Service, for any reason, including, without limitation, for lack of use or if Dirty Labs believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination of your use of Service, may be referred to appropriate law enforcement authorities. Dirty Labs may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this Terms of Service may be effected without prior notice, and acknowledge and agree that Dirty Labs may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that Dirty Labs will not be liable to you or any third party for any termination of your access to the Service.

User Disputes

You agree that you are solely responsible for your interactions with any other user in connection with the Service and Dirty Labs will have no liability or responsibility with respect thereto.  Dirty Labs reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the Service.

General

These Terms of Service constitute the entire agreement between you and Dirty Labs and govern your use of the Service, superseding any prior agreements between you and Dirty Labs with respect to the Service. You also may be subject to additional terms and conditions that may apply when you use affiliate or third party services, third party content or third party software. These Terms of Service will be governed by the laws of the State of Oregon without regard to its conflict of law provisions. With respect to any disputes or claims not subject to arbitration, as set forth above, you and Dirty Labs agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Multnomah County, Oregon. The failure of Dirty Labs to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred. A printed version of this agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You may not assign this Terms of Service without the prior written consent of Dirty Labs, but Dirty Labs may assign or transfer this Terms of Service, in whole or in part, without restriction. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect. Notices to you may be made via either email or regular mail. The Service may also provide notices to you of changes to these Terms of Service or other matters by displaying notices or links to notices generally on the Service.
